Terms of Service

By creating an account, uploading content, or otherwise accessing Virtual at heyvirtual.me, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the service.

These Terms form a legally binding agreement between you and Virtual, Inc. ("Virtual", "we", "us"). If you are using Virtual on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Virtual is a video intelligence platform that allows creators to upload recorded MP4 videos, add AI-powered question answering and confusion analytics, and share interactive viewer links with their audience.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. During the public beta, feature changes are expected and frequent. We will not be liable for any modification, suspension, or discontinuation of the service.

You must be at least 16 years old to use Virtual. You are responsible for maintaining the security of your account credentials. You must notify us immediately at team@heyvirtual.me if you suspect unauthorised access to your account.

You may not create accounts for others without their consent, or create multiple accounts to circumvent plan limits or access restrictions.

You agree not to use Virtual to:

• Upload content that you do not own or have the right to distribute.
• Upload content that is illegal, defamatory, obscene, threatening, or infringes the intellectual property rights of others.
• Upload content depicting minors in a sexual context.
• Attempt to reverse-engineer, decompile, or extract the source code of Virtual.
• Use automated means (bots, scrapers, crawlers) to access the service beyond normal usage.
• Resell or sublicense access to the service without our written permission.
• Use the service to train competing AI models or build competing products derived from Virtual's output.
• Harass, impersonate, or harm other users or viewers.
• Circumvent any rate limits, plan limits, or access controls.

We reserve the right to suspend or terminate accounts that violate these rules, without refund.

5.1 Ownership

You retain full ownership of all recordings you upload and the answers you write. By uploading content to Virtual, you grant us a limited, non-exclusive licence to process, store, transcribe, analyse, and serve that content for the purpose of providing the service to you and your viewers.

5.2 Your responsibility

You are solely responsible for the content you upload and share. You represent that you have all necessary rights, licences, and consents to upload and share your content, including any third-party material it contains (music, software UI, trademarks, personal data of third parties, etc.).

5.3 Content removal

We may remove content that violates these Terms or applicable law, without notice. You can delete your own recordings at any time from your dashboard.

Virtual offers a 7-day free trial followed by paid monthly plans. Pricing is displayed at heyvirtual.me/#pricing.

Beta pricing lock: Accounts created during the public beta will have their plan rate locked for 12 months from the date of general availability (GA), even if list prices change at GA.

Subscriptions renew automatically. You may cancel at any time from your account settings, effective at the end of the current billing period, no partial-month refunds unless required by applicable law.

We reserve the right to change plan limits and pricing. We will provide at least 30 days' notice of any price increase to existing subscribers.

All payments are non-refundable except where required by law or at our sole discretion.

Virtual, its logo, product design, and all software components are the intellectual property of Virtual, Inc. These Terms do not grant you any right to use Virtual's trademarks or branding without prior written consent.

AI-generated outputs (answers, transcripts, embeddings) produced by Virtual on your content are provided to you for your use. We make no representation that AI-generated outputs are accurate, complete, or free from error. You are responsible for reviewing any AI-generated content before relying on it.

Your use of Virtual is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We never sell your data or use your private recordings or viewer questions to train AI models.

AS-IS service: Virtual is provided "as is" and "as available", especially during the public beta. We make no warranties, express or implied, regarding uptime, accuracy of AI outputs, fitness for a particular purpose, or non-infringement.

No consequential damages: To the maximum extent permitted by law, Virtual shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the service, including loss of profits, loss of data, or business interruption.

Liability cap: Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you paid to Virtual in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

You agree to indemnify and hold harmless Virtual, Inc. and its officers, directors, employees, and agents from any claims, losses, or damages (including reasonable legal fees) arising from: (a) your use of the service in violation of these Terms; (b) your uploaded content; or (c) your violation of any applicable law or third-party rights.

You may stop using Virtual at any time and delete your account from settings. We may suspend or terminate your account for breach of these Terms, non-payment, or if required by law.

On termination: your access to the service ends immediately; your recordings are retained for 30 days before permanent deletion (giving you time to retrieve them); any outstanding fees remain due.

These Terms are governed by the laws of the jurisdiction in which Virtual, Inc. is incorporated, without regard to conflict of law principles. Any dispute arising from these Terms shall first be attempted to be resolved by contacting us at team@heyvirtual.me.

If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or breach of confidentiality.

We may update these Terms as the product evolves. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
